Merchant Terms and Conditions

Welcome to Shopaise Merchant Services. These Merchant Terms and Conditions govern your use of the Shopaise e-commerce platform as a merchant. By creating a store on Shopaise, you agree to comply with these terms in addition to our general Terms of Service.

1. Acceptance of Terms

By accessing and using the Shopaise e-commerce platform, you agree to be bound by these Terms and Conditions, all applicable laws, and regulations, and acknowledge that you are responsible for compliance with any applicable local laws. Shopaise LLC reserves the right to update or modify these terms at any time without prior notice.

2. Free Trial

Shopaise offers a 30-day free trial to new users when signing up for the platform. During the trial period, users will have access to all features of the selected plan at no cost. At the end of the 30-day trial period, users must select a paid subscription plan to continue using the platform. If no plan is selected, your account may be suspended or limited in functionality until a subscription is activated. You will not be charged during the trial period, but upon expiration, your subscription will automatically convert to the selected paid plan, and your payment method on file will be charged unless you cancel prior to the trial end.

3. Store Setup and Domain

When setting up your store on Shopaise, you are required to choose a default subdomain (e.g., yourstore.shopaise.com). You can later provide your own custom domain and configure it by updating your CNAME record to point to shopaise.com. It is your responsibility to ensure your custom domain is properly set up and compliant with relevant laws and third-party rights. Improper domain configuration may result in store inaccessibility.

4. Subscription and Payments

Shopaise offers multiple subscription plans, each granting access to different features and resources (e.g., limits on categories, products, or team members). You must select and subscribe to a plan that suits your business needs via Stripe. Subscription fees are non-refundable. You are responsible for ensuring your billing details are accurate and up-to-date, as subscriptions will auto-renew based on your selected plan (monthly or yearly). Shopaise LLC reserves the right to adjust subscription pricing, with changes taking effect in the next billing cycle.

5. Plan Upgrades and Downgrades

Users may upgrade their plan at any time to access additional features or increase resource limits (e.g., the number of products, categories, team members). Downgrading your plan is restricted if you have already utilized resources beyond what a lower-tier plan permits. For example, if you have created more products, categories, or other elements than allowed in the lower-tier plan, you must either reduce these to meet the lower limits or maintain your current plan. Any attempt to downgrade without reducing usage to match plan limitations will be prevented.

6. Order Processing and Service Level Agreement

As a merchant, you commit to processing all orders within 1-3 business days from the time of order confirmation. Failure to meet this service level agreement may result in customer dissatisfaction and potential penalties. Orders for in-store pickup may be held for up to 7 days, after which they may be cancelled and refunded if not collected.

7. Product Authenticity and Legal Compliance

Merchants are strictly prohibited from selling counterfeit, fake, or illegal products on the platform. All items listed must be authentic, legally obtainable, and comply with applicable laws and regulations. Violation of this policy will result in immediate account suspension and potential legal action.

8. Tax Collection and Remittance

Any taxes collected during the checkout process are remitted directly to the merchant. You are solely responsible for handling all tax payments to the respective government agencies. Shopaise does not provide tax advisory services, and merchants must ensure compliance with all applicable tax laws and regulations in their jurisdiction.

9. Product Information Accuracy

Merchants must provide accurate product dimensions including length, width, height, and weight for all items. Incorrect product specifications may result in shipping issues, customer complaints, and additional fees. It is your responsibility to measure and verify all product details before listing.

10. Refund Policy Requirements

All items sold on the platform must be eligible for refunds in accordance with applicable consumer protection laws. Merchants are required to honor refund requests within the specified time frame and process refunds at the store level. Non-refundable items must be clearly marked and justified by the nature of the product.

11. Processing Fees and Stripe Integration

All transactions are processed through Stripe, and processing fees are included in the total order cost. Merchants acknowledge that Stripe fees are deducted from their payouts. Additional fees may apply for currency conversion, international transactions, and other Stripe services as outlined in Stripe's terms of service.

12. Chargeback Responsibility

Merchants are fully responsible for covering all chargeback fees and associated costs. In the event of a chargeback, the merchant must provide necessary documentation to dispute the claim. Excessive chargebacks may result in account suspension or termination.

13. Final Pricing Policy

The price displayed at checkout is the final price that goods must be processed at. Merchants cannot request additional payments or modify prices after checkout completion. Any discrepancies in pricing must be resolved by honoring the checkout price or issuing appropriate refunds.

14. Customer Support Obligations

Store owners are required to provide adequate customer support to buyers, including responding to inquiries, handling complaints, and resolving issues promptly. Failure to provide reasonable customer service may result in negative reviews and potential account restrictions.

15. Tax Compliance Responsibility

Merchants are solely responsible for maintaining tax compliance in all applicable jurisdictions. This includes but is not limited to income tax, sales tax, VAT, and any other relevant taxes. Shopaise does not provide tax preparation services or advice.

16. Banking Information and Payout Accuracy

Merchants are responsible for providing accurate banking information to receive payouts. Incorrect banking details may result in delayed or failed payouts. You must immediately update your banking information if there are any changes to ensure continuous payment processing.

17. Prohibited Items and Stripe Compliance

Merchants must not list or sell prohibited items as defined by Stripe's prohibited business list (https://stripe.com/legal/restricted-businesses) and applicable laws. This includes but is not limited to: weapons, drugs, adult content, gambling services, counterfeit goods, and any items that violate intellectual property rights. Regular audits may be conducted to ensure compliance.

18. In-Store Pickup Verification

For in-store pickup orders, merchants must verify customer identity either by accepting a pickup PIN provided by the customer or by requesting and verifying government-issued identification. Merchants are responsible for ensuring orders are released only to authorized individuals.

19. Payout Timing and Chargeback Protection

Payouts are processed only after orders are completely fulfilled and delivered. The timing of payouts depends on your subscription plan and is designed to cover potential chargeback periods. Higher-tier plans may offer faster payout schedules while maintaining adequate protection against chargebacks and disputes.

20. Payouts to Merchants

All merchant payouts for sales on your store are processed via Stripe. You are required to set up a Stripe account to receive payouts. Payout schedules are subject to Stripe's terms and conditions, and delays may occur in cases of chargebacks, fraud detection, or disputes. Currency conversion fees and international payout fees may apply and will be deducted from your payouts as per Stripe's fee structure.

21. Use License

Shopaise grants you a limited, non-exclusive license to use the platform for creating, managing, and operating one or more online stores. Under this license, you may not: (i) modify or copy the platform's software; (ii) reverse-engineer any component of the platform; (iii) remove proprietary notices; or (iv) transfer your account without Shopaise's consent.

22. Multiple Stores and Team Management

Users can create and manage multiple stores under a single account. You may also add and manage team members for each store, assigning roles with varying permissions. The store owner (admin) is responsible for setting appropriate roles for team members and ensuring compliance with Shopaise's terms and privacy policies.

23. Admin Dashboard Access

Admins can access the dashboard of their store via their subdomain or custom domain at the path '/admin'. To enhance security, two-factor authentication (2FA) is required for all admin users to access the dashboard. It is the responsibility of the admin to ensure the security of their login credentials.

24. Site Customization

Shopaise allows users to customize their e-commerce sites, including modifying themes, layouts, and adding custom code where applicable. While we provide tools and resources to support customization, you are solely responsible for ensuring that any customizations do not infringe on third-party rights, violate applicable laws, or disrupt the functionality of the platform. Shopaise LLC is not liable for any errors, bugs, or downtime caused by user-implemented customizations. Users should also note that excessive customizations may affect platform performance or compatibility with future updates and features.

25. Modifications to the Terms

Shopaise LLC reserves the right to update these Terms and Conditions at any time without prior notice. It is your responsibility to review the latest version periodically. Continued use of the platform indicates your acceptance of any changes.

26. AI Features

Shopaise includes AI-powered features to assist in store management, customer insights, and marketing automation. The scope of AI capabilities may change over time, and it is the user's responsibility to review and use these features in accordance with applicable laws and best practices.

27. Ownership of Customer Data

All customers who make purchases through stores on the Shopaise platform are considered customers of Shopaise. Their credentials and personal information belong to Shopaise LLC, and only the necessary details required to process orders or payments will be shared with merchants. Merchants are prohibited from misusing customer data or transferring it outside the Shopaise platform without explicit consent.

28. Disclaimer

The platform is provided 'as is', without any warranties, expressed or implied. Shopaise LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free access to the platform.

29. Limitations of Liability

In no event shall Shopaise LLC be liable for any damages arising from the use or inability to use the platform, including but not limited to loss of profits, data, or business interruption. Our liability will not exceed the amount paid by you to use the platform in the preceding twelve (12) months.

30. Domain and Hosting

Shopaise provides basic hosting for your store on our platform. If you choose to use a custom domain, you must configure your domain's DNS settings, including the CNAME record, to point to shopaise.com. Shopaise LLC is not responsible for third-party domain issues or improperly configured DNS settings.

31. Termination and Suspension

Shopaise LLC reserves the right to suspend or terminate your account and platform access if you breach these Terms and Conditions, engage in fraudulent activities, or misuse the platform. Upon termination, your access to the platform will cease, and we reserve the right to delete your store data after a set period.

32. Refund and Cancellation Policy

Subscription fees are non-refundable. You may cancel your subscription at any time, but your access to the platform will remain until the end of the current billing cycle. For any issues related to refunds or cancellations, you must contact Shopaise support.

33. Indemnification

You agree to indemnify and hold harmless Shopaise LLC, its affiliates, and employees from any claims, liabilities, damages, and expenses, including legal fees, arising out of your use of the platform, breach of these terms, or violation of any third-party rights.

34. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the jurisdiction where Shopaise LLC is headquartered. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

By using Shopaise as a merchant, you signify your acceptance of these merchant terms and conditions. If you do not agree to these terms, please do not create or operate a store on Shopaise.
